The Uprobrand Web is an online marketplace that operates under certain terms and conditions that govern the access and use by the audience. We act as a service facilitator between the buyers and sellers of all the services listed on our website and do not provide any service of our own. By using the website, you automatically accept the terms of use and the conditions (including but not limited to all the information stated below) and agree to comply with these as a form of a “User Agreement”. 

The Uprobrand Web reserves the right to add, remove, change, or modify the Terms of Use at any time without prior notification to the users. 

• General Terms of Service

1. This website acts as a platform for communication that is built for the purpose of connecting sellers and potential buyers for all the services listed. 
2. We act as a facilitator and cannot control the dealings that take place between both involved parties once they leave our platform. Only the online transactions are processed through us. 
3. We are not responsible for any legal agreements that take place between the buyers and the sellers for all services outside of our platform.
4. We cannot be held responsible for any issues between the employers and jobseekers once they start working together.
5. We will not be responsible for any problems occurring between the renters and the renters after the deal has been made through the website, whatsoever.
6. We are not responsible for any kind of losses (materialistic or other) that may occur with any party involved once the role of this website is over in the deal.
7. After the roommate-rent partners have been selected through our website, we cannot be held responsible for any actions/dealings of either party involved that may cause harm to the other party.
8. The actions/dealings of the babysitter or any other service selected through our website are not our responsibility once our role is over in making the deal between both the parties.
9. We are not responsible for the verification of the licenses required for all the relevant jobs. That is the responsibility of the buyers themselves.

The use of this website for any purpose that is illegal, offensive, deceptive, fraudulent, harassing, in breach of copyright, confidentiality, or injurious to third parties is strictly prohibited and will not be tolerated in any case.

• Disclaimer
  1. You undertake that you are using the services on this website and transacting at your own risk.
  2. You are using your own judgment before indulging in any transactions through this website. 
  3. We shall neither be liable nor responsible for any actions or inactions of any party involved nor any breach of conditions or representations by them and hereby expressly disclaim any responsibility or liability in that regard. 
  4. We shall not be responsible for mediating or resolving any disputes or disagreements between the involved parties for any of the services.

By using TheUprobrand.com web site and using The Uprobrand Web services, you agree to the following terms and conditions. Although The Uprobrand Web is commons referred to as an online marketplace, it is not a retailer. The Uprobrand web acts as a venue to match buyers and sellers. The Uprobrand Web is not involved in the actual transaction between buyers and sellers and does not transfer legal ownership of items from the seller to the buyer. As a result, The Uprobrand Web has no control over the items advertised, or the ability of the sellers to sell items or the or the ability of buyers to pay for items. You are solely responsible for your information, and The Uprobrand Web acts as a passive conduit for your online distribution and publication of your information.

1. Overview
   • You acknowledge that you must be 18 years or older to use this site
   • You acknowledge that you bear sole responsibility for keeping your password secure
   • You agree not to use The Uprobrand Web for any illegal or unauthorized purpose
   • You agree to comply with all local laws regarding online conduct and acceptable content
   • You are solely responsible for your conduct and any data, text, information, graphics, photos, profile, audio and video clips, links or any other content that you submit, post, or display on the website
   • You agree not to solicit, harass, or impersonate The Uprobrand Web members
   • The Uprobrand Web discourages certain conduct and content on the website, nevertheless you acknowledge and agree the website is a venue and as such is not responsible for the content posted. You agree to use the website at your own risk.
   • The Uprobrand Web reserves the right to modify or terminate any service for any reason at any time with or without notice
   • The Uprobrand web reserves the right to alter the User agreement at any time.
   • The Uprobrand web reserves the right to refuse service to anyone for any reason at any time
   • The Uprobrand Web may remove content that it deems unlawful, offensive, threatening, libelous, defamatory, obscene, or otherwise violates and copyrights or other party’s intellectual property.
2. Membership Eligibility
   • The Uprobrand web has a memberships cost of $49.99 per year for Vendors. 
   • The Uprobrand web has a membership’s fee of $99.99 per year for business listing. 
   • Customers who wish to cancel membership have to give a 14 days written notice prior to the billing date in order to cancel the plan. 
   • Are only available for individuals who can form legally binding contracts under applicable law
   • The Uprobrand Web’s services are not available to anyone under the age of 18
   • If you are under the age of 18 you cannot use this website
   • If you do not qualify, please do not use The Uprobrand web
3. Buyer Obligations and Guidelines
   • Your order acts as a legal offer to the seller to purchase the product or service as listed on our website. 
   • The acceptance of the order is considered confirmed when it is dispatched to you. 
   • Orders can be canceled any time before they are dispatched to you.
   • The seller reserves the right to cancel the order if the product is out of stock or any other reason. Payments will be refunded in any such case.
   • A buyer we obligate to immediately pay in full at the time of purchase using all major credit cards and PayPal. (Ethiopian customers may use direct deposit to The Uprobrand Web bank account CBE and Amole)
   • Buyers remorse is not a valid reason for requesting a refund from the seller
   • Prior to making a purchase, buyers should review all sellers’ policies regarding refunds and returns.
   • The Uprobrand Web does not guarantee return or refund of any items
   • If an item(s) is broken or there is an issue on arrival, you have 24 hours to notify The Uprobrand Web for a return or an exchange. Your message will be delivered to the seller through us.
   • If the item is eligible for return the product must be returned unharmed and in its original packaging.
   • You will be responsible for paying for your own shipping costs for returning your item. Shipping costs are non-refundable. If you receive a refund, the cost of return shipping will be deducted from your refund
   • If you are shipping an item over $15, you should consider using a track able shipping service or purchasing shipping insurance. We don’t guarantee that we will receive your returned item.
4. Seller Obligations and Guidelines
   • If there are changes to the Fees and Credit Card Policy and fees for our services, The Uprobrand Web will provide a fourteen (14) day notice.
   • The Uprobrand Web requires all sellers accounts to provide a business license or some form of valid ID card for the purpose of identity verification­­­­.
   • The seller is responsible for the return or refund if the customer is not satisfied and files any return or refund request under the specified conditions.
   • If an item(s) is broken during delivery the item(s) must be replaced within 5 business days at no cost to the customer.
   • The seller is responsible for dealing with the exchange or refund request within 10 business days at max.
   • You are responsible for paying all fees including

Credit card fee 3% plus 0.3 cents per transaction

• Prior to listing for sale on The Uprobrand web
  • Legally prohibited items are restricted from the website and can’t be listed on the website for sale in any case.
  • You must be legally able to sell the item(s)
  • You must describe your items and all terms of sale on the listing page of the site
  • Listing may only include text describing, graphics, pictures and other relevant content to the sale of the item(s)
  • All listed must be listed in an appropriate category
  • Each listing must accurately and completely describe the item/items for sale in that listing
  • Each unique item must have its own listing
• Binding sale
  • All sales are binding
  • If you, as a seller, receive a purchase request order you are obligated to complete the transaction with the buyer in a prompt manner, unless there is an exceptional circumstance, such as
    • The buyer fails to meet the terms of your listing, such as payment method
    • You cannot authenticate the buyer’s identity
  • Shipping and handling
    • All sellers are obligated to ship the ordered products to the customer within 48 hours after they received an order notification and they need to add the tracking number of the shipping from their Dashboard.
  • Termination
    • The Uprobrand Web may without notice suspend or terminate your account if we suspect that you have violated any of The Uprobrand Web’s policies set out in this Terms and Conditions or any other policy documents or community guidelines, or you have engaged in an improper or fraudulent activity in connection with The Uprobrand Web
    • If The Uprobrand Web terminates a listing or your account, if you close your account, or if the payment of fees cannot be completed for any reasons, you remain obligated to pay The Uprobrand Web for all unpaid fees plus any penalties
    • If the account becomes past due, The Uprobrand Web reserves the right to attempt to collect past due fees by charging the seller’s card on file
  • Manipulation
    • The price states in each item description must be accurate
    • Seller, under no circumstance, cannot states one price on an item and attempt to charge a buyer a higher price

1. Payout

• You agree that The Uprobrand Web will deduct 10% from every transaction before your payout
• Payout will be scheduled 5-7 business days after product is delivered to the buyer

5. Usage Guidelines
   • Third party content
     • You understand that The Uprobrand Web acts only as a platform and technical interface between users and that The Uprobrand Web does not itself verify the qualification of the users, nor does it evaluate or control in any ongoing manner exchange between users
     • You understand that you may be exposed to content that you find offensive to you, and that you use The Uprobrand Web at your own risk
     • Please use caution, common sense, and practice safe trading when using The Uprobrand Web
     • User verification on the Internet is difficult, The Uprobrand Web cannot and does not confirm each user’s purported identity
   • Prohibited, Questionable, and Infringing Usage
     • Your activities which results in your information on The Uprobrand Web shall not
       • be false, inaccurate or misleading
       • be fraudulent or involve the sale of illegal, counterfeit, stolen items or items which violate the Terms of Use in anyway
       • infringe upon any third party’s copyright, patent, trademark, trade secret or other intellectual property rights
       • violate any law, statute, ordinance or regulations
       • be defamatory, trade libelous, unlawfully threatening or unlawfully harassing
       • be obscene or contain child pornography
       • contain any viruses, Trojan horses, worms
       • create liability for us
     • Access and interference
       • Much of the information on The Uprobrand Web is update on a real time basis and is proprietary or is licensed to The Uprobrand Web by The Uprobrand Web or third parties
       • You agree that you will not
         • Take any action that imposes, or may impose, in our sole discretion, an unreasonable or disproportionately large load on our infrastructures
         • copy, reproduce, modify, distribute or publicly display any content from the site without prior expressed written permission of The Uprobrand Web
         • interfere or attempt to interfere with the proper working of the site or any activities conducted on the site

6. Miscellaneous Terms and Conditions
   • Breach
     • The Uprobrand Web may, without prior notice, limit you activity, immediately remove your item listings, warn The Uprobrand Web’s community of your actions, issue a warning, temporarily suspend, indefinitely suspend, or terminate your membership (without refunding any fees) and refuse to provide our services to you if
       • You breach this Agreement or other policy documents and community guidelines
       • The Uprobrand Web is unable to verify or authenticate any of your information
       • The Uprobrand Web believes that your actions may cause financial loss or legal liability for you, The Uprobrand Web’s users, or The Uprobrand web
     • No Warranty
       • The Uprobrand web, The Uprobrand Web’s officers, directors, employees and The Uprobrand Web’s suppliers provide The Uprobrand Web’s website and service “as is” and without any warranty or condition, express, implied or statutory.
       • The Uprobrand web, The Uprobrand Web’s officers, directors, employees and The Uprobrand Web’s suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement
     • Limitation on liability
       • In no event shall The Uprobrand Web be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our service or this agreement
       • The Uprobrand Web’s liability to you or any third parties in any circumstance is limited to the greater of
         • The amount of fees you pay to The Uprobrand Web in the 12 months prior to the action giving rise to the liability

• Indemnification
  • You agree to indemnify and hold The Uprobrand Web harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your breach of this agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third part
• Legal Compliance
  • You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and your listing, purchase, solicitation of offers to purchase, and sale of items.

Events

THIS AGREEMENT is made

ON THE BASIS THAT:

1. The client has sought a proposal from The Uprobrand Web regarding the provision of ticketing services
2. The Uprobrand Web has provided proposal respect of the ticketing services sought by the Client and the Client has agreed to engage The Uprobrand Web to provide the ticketing services on the terms and conditions outlined in this Agreement.

THE PARTIES AGREE THAT:

1. APPOINTMENT

The Client appoints The Uprobrand Web as its exclusive online agent for ticketing services for the Event in accordance with this Agreement and the terms of the Proposal. The client will not appoint any other online ticketing agency to provide ticketing services in respect of the Event.

2. TERM

The term of this Agreement is for the period leading up to the Event or until thirty (30) days after the end of the Event

3. TAKING
4. The Uprobrand Web will pay the takings (after deduction of all The Uprobrand Web’s fees and charges and any another amount owing to The Uprobrand Web by the client) after the event and any issue involving refunds are resolved
5. No monies are paid to the Client prior to the event taking place. All monies due after The Uprobrand Web’s fees and charges and any other amounts owing to The Uprobrand Web by the Client have been deducted will be paid to the Client in five business days following the event.
6. INSTRUCTIONS

• The Client acknowledges that it is responsible for all instructions it gives to The Uprobrand Web and must provide written instruction to The Uprobrand Web at least 3 business days prior to the date tickets are to go on sale.

1. particulars of the Event, including the nature of the event, the name of the event, the participants, and the wording to be printed on the tickets
2. Venue or venues for the event
3. The date and time of the event and all the performances
4. Pre-sale and front door ticket pricing
5. Refund policy for the tickets that are bought but not used by the patrons

• The information provided shall be accurate and it shall be a breach of this agreement if any of the information provided by the client is inaccurate in any way

5. TICKETS
6. The client shall honor all tickets sold or issued by The Uprobrand Web on behalf of the client
7. The client acknowledges that The Uprobrand Web does not guarantee a minimum or fixed number of tickets will be sold
8. The Client shall ensure that all advertisement for the Event shall display the name of “The Uprobrand Web”, the current logo of “The Uprobrand Web”, and the website URL of “The Uprobrand Web” where tickets for the Event may be purchased
9. INTERRUPTED CANCELLED OR POSTPONED EVENTS OR PERFORMANCES
10. The Client shall be liable for all refunds in the event of interrupted, canceled, or postponed Events
11. If an event or performance is interrupted, canceled, or postponed the Client shall notify The Uprobrand Web immediately when the interruption occurs or the decision to postpone or cancel is made
12. If an Event is interrupted, canceled, or postponed without the knowledge of The Uprobrand Web and all or any of the tickets are refundable, the Client shall pay The Uprobrand Web the administrative and credit card charges that The Uprobrand Web has incurred under the Proposal within 7 days of The Uprobrand Web supplying the Client with the said charges.
13. The Uprobrand Web CHARGES

• The Uprobrand Web may charge the Client the following amount

1. 99% + $1.39 per each ticket sold
2. A credit card fee of 3% per each ticket sold to a patron who has paid using a credit card
3. Administrative charge for refunding tickets as a result of interrupted, canceled or postponed events

• The Uprobrand Web may deduct its charges from the taking from ticket sales any time after the time of sale before paying Client

8. TERMINATION AND DEFAULT
9. If the Client breaches this agreement and such breach is not remedied within five business days, The Uprobrand Web may terminate this agreement
10. If the Client breaches this agreement and such breach is incapable of being remedied, The Uprobrand Web may terminate this agreement immediately
11. REPRESENTATIONS & WARRANTIES

The Client represents and warrants to The Uprobrand Web that it is capable of granting rights to The Uprobrand Web to lawfully provide ticketing services

1. The Client has arrangements in place to use the venue
2. The Client has all the necessary permits and permission to conduct the Event
3. The Uprobrand Web is appointed as the sole and exclusive online ticketing agent
4. INDEMNITY

• The client indemnifies and shall keep indemnified The Uprobrand Web against all expenses, losses, damages, and cost which The Uprobrand Web may sustain or incur as a result, whether directly or indirectly

1. Any loss of or damage to any property or injury or death of any person
2. The performance, non-performance, cancellation, postponement, or interruption of an Event
3. A breach of the representations and warranties in clause 9

• The indemnities in this clause shall be continuing indemnities

1. ADVERTISING AND PROMOTION

• The Uprobrand Web must be included in all advertising for events. The Uprobrand Web’s URL as  must be included
• The Uprobrand Web’s logo must be approved prior to use. Sample can be obtained at.
• By using the website and the services it provides, you automatically accept the terms and conditions, including but not limited to all the information stated above, and agree to comply with these as a form of “User Agreement”.
